Service Agreement


Between: Alpha Ventures Pvt. Ltd. (“Service Provider”)
And: Horizon Capital LLP (“Client”)


1. Scope of Services

The Service Provider shall assist the Client in preparing investment materials, conducting due diligence, and coordinating with third-party consultants as required.


2. Fees and Payment

The Client shall pay professional fees as agreed in Schedule A. Payments shall be made within fifteen (15) days of receipt of invoice.


3. Confidentiality

The Receiving Party shall keep all information disclosed by the Disclosing Party strictly confidential and shall not disclose, copy, or use such information for any purpose whatsoever without the prior written consent of the Disclosing Party. The obligations of confidentiality shall be perpetual and shall apply regardless of whether the information is publicly known, independently developed, or obtained from any other source.


4. Term and Termination

This Agreement shall remain in force for twelve (12) months from the Effective Date unless terminated earlier by either Party with thirty (30) days’ written notice.
