Service Agreement


Between: Alpha Ventures Pvt. Ltd. (“Service Provider”)
And: Horizon Capital LLP (“Client”)


1. Scope of Services

The Service Provider shall assist the Client in preparing investment materials, conducting due diligence, and coordinating with third-party consultants as required.


2. Fees and Payment

The Client shall pay professional fees as agreed in Schedule A. Payments shall be made within fifteen (15) days of receipt of invoice.


3. Confidentiality

The Receiving Party shall keep all information disclosed by the Disclosing Party strictly confidential and shall not disclose, copy, or use such information for any purpose whatsoever without the prior written consent of the Disclosing Party. The obligations of confidentiality shall be perpetual and shall apply regardless of whether the information is publicly known, independently developed, or obtained from any other source.


4. Term and Termination

This Agreement shall remain in force for twelve (12) months from the Effective Date unless terminated earlier by either Party with thirty (30) days’ written notice.

Do you support migration from iManage and NetDocuments?

Yes. We use Universal Migrator to move data directly from both iManage and NetDocuments.

What happens to our existing folder structure and matter numbering?

We map your existing taxonomy rather than forcing a rebuild. The system supports alphanumeric matter numbers, and folder structure is preserved wherever possible.

Do we lose version history or metadata during migration?

No. Version history, metadata, and access permissions carry over.

What's the downtime during cutover?

No meaningful downtime expected. Migration runs in parallel, so your existing system stays usable throughout.

Where is data hosted, and is it compliant with relevant frameworks?

Data is hosted in the firm's own region. US firms are hosted in the US, UK firms in the UK, and Indian clients' data stays in India.

How does permissioning work for conflict walls and ethical screens?

Access is role-based across four tiers: Lister - can see that a file or folder exists but must request access to open it Viewer - read-only access to assigned matters Editor - can view and edit assigned matters Admin - full access, including managing who else has access Matters can also be marked confidential, hiding them entirely from anyone without an explicit grant.

Does it work with our existing document management system?
